The token “YUGE” is a symbolic digital asset used to support decentralized research governance. It is not a medical product, does not offer or imply any therapeutic or sexual enhancement effects, and should not be interpreted as such.

ERECTUSDAO does not provide medical treatment, advice, or services. All communications and materials published by ERECTUSDAO are intended for research and educational purposes only.

We uphold the highest standards of professional ethics, transparency, and respect for the medical community. Our activities are conducted independently from any licensed clinical practice and comply with the applicable laws in Switzerland and abroad.

If you decide to participate in the token sale, please note that your payment or contribution does not represent, constitute, or involve the exchange of cryptocurrencies for any form of securities, investment units, and/or ordinary shares in the project, platform, company, or any other entity.

• The Tokens to be issued and distributed are not intended to constitute securities and/or collective investment units in any project, platform, association, company, or entity of any kind.
• Participants do not receive any form of dividend or other revenue rights, nor do they represent any participation in a profit-sharing scheme.
• The Tokens are not intended to be used as a means of payment or similar.
• Any functionalities of the Token, including any potential rewards, governance utilities, and/or similar, are based on the decentralized, programmatic, and subject-to-change nature, and there is no right, claim, guarantee, or similar regarding any such functionalities.

NO WARRANTIES

ERECTUSDAO MAKES NO WARRANTY OR REPRESENTATION, WHATSOEVER, WITH RESPECT TO THE TOKENS AND THE NATURE OF THE TOKENS, INCLUDING, BUT NOT LIMITED TO:

• WARRANTY OF MERCHANTABILITY;
• WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE;
• WARRANTY OF TITLE; OR
• WARRANTY AGAINST INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY.

Whether arising by law, course of dealing, course of performance, usage of trade, or otherwise. Except as expressly set forth herein, the Participant acknowledges that it has not relied upon any representation or warranty made by ErectusDAO, or any other person on the entity's behalf.

Participant's Representations

• The Participant has been advised that the token sale has not been registered under any country's securities laws and, therefore, cannot be transferable or resold at this stage.
• The Participant is participating for its own account and not as a nominee or agent, with no present intention of resale or distribution.
• The Participant has sufficient knowledge and experience in financial and business matters to evaluate the risks of participation and can bear the economic risk of complete loss.
• The Participant ensures compliance with the laws of its jurisdiction regarding participation in the token sale, including legal requirements, foreign exchange restrictions, required governmental consents, and tax implications.
• The Participant consents to ErectusDAO's right to request and disclose personal information for regulatory compliance.
• The Participant acknowledges the risks involved, including but not limited to:
  • The technology associated with the network or tokens may not function as intended.
  • The token launch or auction may not be completed.
  • The network and tokens may fail to attract sufficient interest from users.
  • ErectusDAO and its affiliates may be subject to regulatory scrutiny or punitive actions.

ASSUMPTION OF RISK

THE PARTICIPANT UNDERSTANDS AND EXPRESSLY ACCEPTS THAT THE TOKENS WILL BE CREATED AND DELIVERED AT THE SOLE RISK OF THE PARTICIPANT ON AN "AS IS," "UNDER DEVELOPMENT," AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND.

Without limiting the foregoing, the Participant assumes all risk and liability for the results obtained by the use of any Tokens, regardless of any oral or written statements made by ErectusDAO regarding their use.

No Financial, Legal, or Tax Advice

Any information related to the Token and/or ErectusDAO is not to be construed as business, investment, legal, tax, or financial advice. The information is of a general nature and does not purport to contain all relevant information. Participants should conduct their own research and consult professional advisors before making any decisions.

Taxes and Liability

The Participant understands that they bear sole responsibility for any taxes resulting from participation in the token sale, ownership, use, sale, or other disposition of Tokens.

The Participant agrees to indemnify, defend, and hold harmless ErectusDAO, its affiliates, directors, officers, employees, and contributors from any claims, liabilities, or penalties, including taxes, arising from participation in the token sale or ownership of tokens.

Restrictions on Participation

The following restrictions apply to participation in ErectusDAO governance via the $YUGE governance token, in addition to any other applicable laws:

• The $YUGE token may not be held, offered, or sold to U.S. persons (as defined under Rule 902 of Regulation S) or within the United States, unless lawfully registered or exempt.
• Prohibited Persons may not own, buy, or sell $YUGE tokens, including:
  • Nationals or residents of embargoed or restricted countries.
  • Entities listed on U.S. government sanctions lists.
  • Persons subject to sanctions by Switzerland, the UN, the EU, or the UK.

By participating, the Participant acknowledges understanding and acceptance of all terms, risks, and responsibilities outlined in this disclaimer.
